optimization of production processes

Frauengrund plants
* Outsourcing of the Logistics Service Center to external service provider
* Personnel measures aiming at no redundancies for operational reasons

Luxembourg, October 1, 2013 - The management of SAF-HOLLAND, a leading
supplier for the global truck and trailer industry, has decided to transfer
the Wörth am Main plant into the existing Keilberg and Frauengrund plants
in Bessenbach. The integration of the Wörth am Main plant is part of a
package of measures to increase the profitability of the Trailer Systems
Business Unit and leads to an optimization in production processes within
the plant network. In this context, it has been decided to close the Wörth
am Main location. Correspondingly, the Keilberg and Frauengrund plants will
be expanded and improved in terms of building structure. The transfer of
production, and the existing machinery and facilities of the Wörth am Main
plant, as well as the transfer of the employees affected, is to take place
gradually from December 2013 to December 2015.

Furthermore, it was decided to carry out the activities of the LSC
(Logitics Service Center) department at the Frauengrund plant by way of an
external logistics service provider starting from the end of 2013 / early
2014.

The plant consolidation and outsourcing of the logistics activities shall
be implemented in connection with personnel measures and affect 36
positions mainly in the administrative and indirect area in Wörth am Main
and 50 positions in the LSC department at the Frauengrund plant. For this
purpose, management entered into negotiations with the works council and IG
Metall on October 1, 2013 and strives to implement the measures without
redundancies for operational reasons. In this connection, a program has
been initiated that comprises offers of partial retirement, continued
qualification and reassignment to open positions or those that become open
due to normal labor turnover. Furthermore, management expects to be able to
offer different workplaces to the affected employees in the future as a
result of the positive development of business and operational growth.
