SAF-HOLLAND closes acquisition of trailer axle and suspension system manufacturer York Transport Equipment (Asia) Pte. Ltd.

Luxembourg, April 30, 2018 - SAF-HOLLAND announces the successful closing of the acquisition of 100% of the shares in York Transport Equipment (Asia) Pte. Ltd. ("York") headquartered in Singapore. Based on this acquisition, SAF-HOLLAND instantly becomes one of the market leaders in trailer axle and suspension systems in India.

SAF-HOLLAND had announced the signing of an agreement with TRF Singapore Pte. Ltd. and TRF Holdings Pte. Ltd. for the acquisition of York Transport Equipment (Asia) Pte. Ltd. ("York") on March 21, 2018. York and its subsidiaries ("York Group") are considered one of the leading suppliers of trailer axle and suspension systems in Indiaand distribute a full range of truck and trailer components in the APAC region. TRF Singapore Pte. Ltd. and TRF Holdings Pte. Ltd. have on April 30, 2018 transferred the entire shares held by them in York Transport Equipment (Asia) Pte. Ltd. to SAF-HOLLAND GmbH.

The York Group will be included in the SAF-HOLLAND Group's scope of consolidation as of May 1, 2018. Consequently, it is expected that the acquisition will add approximately EUR 33 million in sales with an adjusted EBIT margin in the mid-single digit percentage range to SAF-HOLLAND Group's sales in the remainder of SAF-HOLLAND Group's financial year 2018. Over the next few years, as the York Group becomes integrated into the SAF-HOLLAND Group, the EBIT margin is expected to move successively higher in the direction of the overall EBIT margin of the SAF-HOLLAND Group.
